Troika Media Group, Inc. (Nasdaq: TRKA) ("TMG" or "Company"), a brand consultancy and marketing innovations company that provides integrated branding and marketing solutions for global brands, operates a subsidiary, Troika IO, which makes available the ability to purchase or obtain non-fungible tokens (or "NFTs") through a platform called Redeeem, a marketplace to buy, sell and trade non-fungible tokens (NFTs) on a blockchain (a “Transaction”).
If you wish to make a Transaction, you may be asked to supply certain relevant information, such as your credit card number and its expiration date, your billing address and your shipping information. YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT TO USE ANY CREDIT CARD THAT YOU SUBMIT IN CONNECTION WITH A TRANSACTION. By submitting such information, you grant to us the right to provide such information to third parties for purposes of facilitating Transactions. Verification of information may be required prior to the acknowledgment or completion of any Transaction. By making a Transaction, you represent that the applicable NFTs will be used only in a lawful manner.
Redeeem reserves the right, including without prior notice, to limit the available quantity of or discontinue making available any NFT; to impose conditions on the honoring of any coupon, discount or similar promotion; to bar any user from making any Transaction; and to refuse to provide any user with any NFT. Refunds and exchanges will be subject to Redeeem’s or the relevant Brand’s applicable refund and exchange policies. While it is our practice to confirm orders by email, the receipt of an email order confirmation does not constitute our acceptance of an order or our confirmation of an offer to sell a product or service. If necessary, Redeeem reserves the right to submit disputes to a decentralized autonomous organization (DAO) for fast and fair resolution.
You agree to pay all charges incurred by you or on your behalf through the Platform, at the prices in effect when such charges are incurred. You are responsible for compliance with any tax obligations arising from your use of the Platform and are advised to consult with a tax advisor regarding your specific state, local, federal requirements for your jurisdiction or country. We shall bear no liability or responsibility with respect to any non-Redeeem tax obligation. Redeeem reserves the right in its absolute and sole discretion if Redeeem deems it is within Redeeem’s obligation for compliance with laws to issue you tax forms or disclosures, including but not limited to, Form 1099’s and to require that you complete any such additional information as may be required for Redeeem to comply with governmental requirements. You agree to indemnify, defend, and hold Redeeem, Brands and Affiliates and its and their respective officers, directors, employees, agents, licensors, representatives, advertisers, service providers and suppliers harmless from and against any and all claims, actions, losses, expenses, damages and costs (including reasonable attorneys’ fees), resulting from your failure to provide required documentation or pay any appropriate taxes to the proper governmental authorities.
Minimum or Maximum Amounts
The Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 permits merchants to impose a maximum on the minimum purchase requirements for debit and credit card transactions. Redeeem minimum purchase is $10—the maximum amount allowed by law. The maximum purchase amount is $2,000 or $10,000 depending on the Know Your Customer (KYC) verification status.
To the extent that Redeeem determines that it is liable or responsible in any jurisdiction for collecting or remitting any tax or providing transaction data to relevant authorities, Redeeem has the right to implement such measures as it deems necessary, it its discretion, for ensuring compliance.
Redeeem may provide functionality for a NFT such that certain downstream transfers for value of such NFT by you (e.g., to another consumer who collects NFTs) or to you (e.g., from another consumer transferring the NFT) that occur on the Platform may generate Content-related royalties to a Brand or its designee(s) based on the value of any such transfer and Redeeem may charge a transaction fee for any transactions taking place on or in connection with the Platform.
Redeeem shall also be entitled to recoup or pass on any third-party transaction fees (including but not limited to debit card, credit card, PayPal fees) and, to the extent applicable, sales tax amounts incurred from your use of the Platform.
Redeeem does not receive, custody, or process any payment of U.S. dollars or cryptocurrency in connection with transactions on the Platform involving Users. All transfers of U.S. dollars and cryptocurrencies between Users and Redeeem, as applicable, are processed by third-party payment service providers, and your use of these services is subject to such third-party service providers’ terms and conditions as well as local rules and regulations.
